Licensee shall obtain from a qualified insurance company acceptable to Zutano and maintain,at its own expense,comprehensive commercial liability insurance,which shall include product liability insurance,on terms acceptable to Zutano,in an amount not less than five million U.S.dollars (US$5,000,000) per occurrence covering any claims,suits,demands,losses,liabilities,damages,costs and expenses arising out of Licensee's operation of and activities associated with the Licensed Stores and/or alleged defects in the Licensed Products manufactured or sold by Licensee; such insurance shall name Zutano as an insured party and shall provide that the same may not be cancelled without at least one hundred twenty (120) days prior written notice to Zutano; Licensee shall provide proof of such insurance to Zutano upon execution of this Agreement and at any time thereafter upon Zutano's request.
