外商投资企业法是外商投资领域中的商事组织法,是我国重要的部门法.其作为一个独立的法律部门,与在我国商事组织法体系中起着举足轻重作用的公司法相比,外商投资企业法在出资人、调整对象、组织机构等方面均具有明显的特殊性.对二者之间的关系,目前学界普遍认为是一般法与特别法的关系.但通过对二者的比较,外商投资企业法与公司法在法律适用上存在着冲突,外商投资企业是区别于公司的一种企业法律形态,二者之间的关系,不是一般法与特别法的关系.外商投资法本质上应属于商事管理法或商事运行法.

Relationship Between China Foreign Investment Interprise Law
and Corporation Law
Abstract(内容摘要）
Foreign Investment Interprise Law is the business association law in foreign investment, also an important department law in China. As an independent law department and compared with Corporation Law which plays an important role in business association law system, Foreign Investment Interprise Law owns many distinct specificities in fund-provider, adjustment object and organization. To the relationship between this two laws, academic community commonly recogizes it as the relationship between general law and special law. But by comparision,there are conflicts in law application between Foreign Investment Interprise Law and Corporation Law. Foreign-invested enterprise is a kind of enterprise legal form distinguished from company. The relationship between them is not the relationship between general law and special law. Foreign Investment Interprise Law essentially belongs to Business Regulatory Law or Business Operation Law.
