Healthy Pty Ltd is a fitness centre and retailer of sports and gym equipment who has entered into negotiations with John Hale for a lease of his commercial premises.In the proposal drawn up by the parties it was stated that John was to carry out extensive improvements of the existing structure on the site before Healthy Pty Ltd would take possession.Both parties’ licensed conveyancers enter into discussions concerning the terms of the commercial lease.These discussions were finally concluded when John’s licensed conveyancer was told that “they did not think that there would be any problems and if there were they would notify them the next day”.When John’s licensed conveyancer did not hear anything,he submitted “by way of exchange” documents executed by John for signature by Healthy Pty Ltd.In order to complete the upgrade of the building by the required date under the contract,John organized the necessary finance and began to carry out the improvements.Healthy Pty Ltd was aware that the improvements were being carried out but were reconsidering their position in the light of a down turn in consumer spending.It was only after over 50% per cent of the work had been completed that Healthy Pty Ltd’s licensed conveyancer finally acknowledged receipt of the executed documents and advised John that their client did not intend to proceed with the lease.
Advise John on whether he has any legal rights against Healthy Pty Ltd.
