Unless expressly stipulated on the face of this Contract,Seller makes no warranty or condition,expressly or impliedly,as to the fitness or
suitability of the Goods for any particular purpose or the merchantability
thereof.If any warranty or condition is determined to exist,Seller's liability shall be

The trade terms herein used,such as CIF and FOB,shall be interpreted in accordance with INCOTERMS.In all other respects,this Contract shall be governed by and construed in accordance with the laws of Japan,without giving effect to internal principles of conflict of laws.
All disputes,controversies or differences arising out of or in relation to this Contract or the breach thereof,which cannot be settled by mutual accord without undue delay,shall be settled by arbitration in Tokyo,Japan,in accordance with the rules of procedure of the Japan Commercial Arbitration Association.The award of arbitration shall be final and binding upon both parties and judgment on such award may be entered in any court or tribunal having jurisdiction thereof.
