2.LICENCE – LICENSOR’S OWNERSHIP
2.1 Licence to Manufacture,Assemble,Use and Sell
Licensor hereby grants to Licensee during the term of this Agreement an exclusive and assignable right and licence to use the Licensed Information to manufacture,assemble,distribute and sell the Products and the Parts within the Territory
2.2 Licensee’s Acknowledgment of Licensor’s Ownership
Licensee hereby acknowledges that Licensor is the originator of the Products and the Parts,the corresponding Licensed Information,Improvements and all industrial property rights to such Products and Parts which shall remain Licensor’s property and the Licensee shall not use such Licensed Information,Licensed Patents,Licensed Trademarks and Tradename,Improvements or industrial property rights and/or manufacture,assemble,use,distribute or sell the Products and the Parts in the Territory except as permitted by this Agreement.Licensee further acknowledges that any Improvements as stipulated in Clause 3.2.2 and 3.2.3 will be developed by Licensee based on the Licensed Information supplied by Licensor to Licensee hereunder or in the course of manufacturing and/or assembling the Products and the Parts and that such Improvements shall be jointly owned by Licensor and Licensee with each party having full ownership thereto subject to Clause 3.2.2 and 3.2.3
2.3 Use of Licensed Patents and Licensed Information
For the purpose of enabling Licensee to manufacture,assemble,distribute and sell the Products and the Parts within the Territory,Licensor grants to Licensee during the term of this Agreement the exclusive and assignable right to do so pursuant to the Licensed Patents and Licensed Information and Licensee shall not infringe upon or use the Licensed Patents and Licensed except as permitted by this Agreement
2.4 Licence and Use of Licensed Trademarks and Tradename
